Jones Box 78 TAUMARUNUI Dear Pei, Serious trouble has arisen over the Mill accounts, On enquiry, it appears that Ydri Pinga and Dave have been running their own accounts collecting and paying out money and banking monies due to the Mill in Dave's private account. I have had no invoices from the mill since January 7th. in spite of the fact that McLean has been supplying large quantities of timber from the native bush at the back of his place. The first intimation I had was when I shook up some slow payers and received complaints that the accounts had already been paid. Then today the Bank of New Zealadd rang me complaining that cheques made payable to the Sawmill were being lodged in Dave's account incorrectly endorsed and requesting me to approve and correctly endorse them. Of course I declined to do that. Section 130 (1) of the Companies Act 1933 provides that Every company shall cause to be kept proper books of Account with respect to:- (a) All sums of money received and expended by the company and the matters in respect of which the receipt and expenditure takes place. (b) All sales and purchases of goods by the company (c) The assets and liabilities of the company " Section 130 (3) provides If any person being a director of the company fails to take all reasonable steps to secure compliance with the requirements of this section, or has by his own wilful act been the cause of any default by the company thereunder, he shall, in respect of each offence, be liable on summary conviction to imprisonment for a term not exceeding six months or to a fine not exceeding two hundred pounds" Of course I am not suggesting that all the directors are going to be sent to prison, but the above section indicates how seriously the Legislature views such irregularities as are now going on at the mill. Your Solicitor will verify my letter for you. If Pinga and Dave's action came to the knowledge of this man behind the Kotahitanga organisation, you would have a court order on the company without delay. I cannot continue under the circumstances Pei, as it will be a pretty hopeless job at balance date as I will not have complete records and could not prepare a true balance sheet. You would have no chance of getting an Audit certificate. The company could be in serious trouble with its debenture holder, the Tainui Trust Board owing to the suppression of liabilities which may effect its security. Mr. Wong has got himself into very serious financial difficulties, and I feel that you should know the position has it now stands. I have claimed on behalf of the Estate 51 for rent. It appears hopeless for Mr. Wong to carry on unless he can raise about 000 and he is making immediate efforts to do this, but I do not think he will have much success. At the meeting of creditors it was apparent that all the creditors believed that they were the only ones not paid. Though Mr. Wong had not deliberately told any lies, he had nevertheless led some of the creditors astray as regards his financial position. I would add however that Messrs. Land Valuation: New Valuation Figures Old Valuation Figures as at 12/10/52 as at 31/10/52 Improvements 10800 Unimproved value 10040 Capital value 0840 165 These figures do not include the sawmill buildings. If you wish to object to the new valuation (on which death duties are payable) you must lodge an objection before the 11th February 1954. Death Duties: A preliminary assessment of 52-14-5 has been made and is payable before the 10th February 1954. In the light of the new valuation figures the death duties will amount to approximately 000 but I must point out that this can be subject to a substantial variation. Income Tax, furthermore, has not yet been finally determined. This substantial amount of death duties must be met fairly soon, although the assessment has not yet been made. Death Duty Accounts: The Inland Revenue Department has made a number of inquiries regarding the death duty accounts as filed and I would like your comment and assistance to enable me to reply. Ltd. , Thanks for the copy of the Profit Lose Account and Balance Sheet I cannot come through on Sunday as I have a visitor who will not be leaving until Monday I am also very busy with our own Mill affairs , and at the same time trying to bring the accounts of the Tainui Maori Trust Board up to date It looks as if I may be able to Dome through on Wednesday - arriving there sometime in the afternoon To get a better picture of the Mill working as reflected in the accounts , I would like to have figures as Co quantities of :- (a) Loge cut :- 1. From commencement to 30/9/1952 2, 30/9/1952 to 31/3/1953. (b) Timber cut :For same two periods (c) Average realisation per 100 on timber sold. For same two periods. ky general impression /a at the moment is that results to date indicate that :- (1) With the present mill personnel the wages item is too high for the output of the mill Two (2) There is nom margin between coats and realisation at the landed cost of logs (Rimu). The same would apply if metal were supplied at the same cost This factor poses a problem with regard to getting logs from here , as the landed cost there will be in excess of the cost of the logs from Maungatautari Bush Our logs will cost 26/- per 100 on Railway trucks at Manunui , and when freight by rail and handling at Ngarugwahia to the Mill is added the landed cost will be approximately per 100. Log Measurement. This is 10/- per 100 more than the Maungatautari logs The Rail freight on logs from Manunui to Ngaruawahia is 11/9 per 100, and the Railway measurement is over the bark , which means an extra 300 on a full Flat top truck of approximately 7000 (3) The irregular supply of logs calls for a reduction in the mill staff to a skeleton gang working ; which means the same two men should work the Breaking Down Bench and the Breast Bench , and this gang should cut the same average quantity over a period as the men who have bean operating the mill up to the present (10 I will have to examine the accounts again when I get down there In the meantime I cannot see my way clear to go any further with the idea of getting loge from here.
