Kingi - Clerk/Interpreter 2 HAROHARO 9 AND OTHERS Section 435 and Section 438 COURT: Refer Rot. 150/186-189 of 1970. This application, lodged for purposes of convenience by the Deputy Registrar pursuant to the power conferred on him by subsection 1 of Section 27 of the Maori Affairs Act 1953, has its genesis in a worthwhile working arrangement struck by the Rotorua County Council with the Maori owners of thirty-three blocks of Maori freehold land all now lying idle and unproductive. So far as the Maori owners are concerned it is significant that after more than usual notification of the matters in hand no Maori owner is in opposition to the general nature of the relief sought in the prayer to the application. At the very outset it is as well to say that there is no evidence that the owners of the land have neglected to farm all or any one or any combination of the lands or otherwise manage the same with due diligence and that in consequence of their neglect the lands have not been used to proper advantage. The fact is simply that the lands are not and never have been capable by ordinary and reasonable standards of being used with advantage for agricultural or pastoral or horticultural purposes. It is clear, on the other hand that their profitable future, happily both in the private and the public interest, lies in their utilization for long-term forestry purposes. The instant application is directed to the making by the Court of a series of orders empowering representatives of the Maori o,mers to treat for and conclude with any interested forestry concern arrangements for the establishment upon the lands of an exotic forest of some 16,454 acres. On the material before it the Court is satisfied, as the owners are satisfied, that these lands can be more conveniently worked or dealt with if held in common ownership under one title. In terms of the consent of the Maori Trustee (MT 12/677 of 2.1970 - folio 9 on Ct file 10184) there is an order under Section 438(3)(c) of the Maori Affairs Act 1953 terminating the trust constituted 14th November 1968 as to Haumingi 13B and revesting that land in the beneficial owners in their respective shares freed from the Trust. Order Section 34(10) for immediate release. The Maori Trustee, since the date of trial, has filed a claim for 110 costs with interest at 6 as from 1.1969: The Court understands the Maori Trustee intends to exercise. some Statutory provision available to him under the Maori Trustee Act 1953 to secure payment. Whatever step he may or may not take in that direction, leave is reserved the Maori Trustee to make to the Court on or before 31st May 1970 such application to that end as he deems meet. Accordingly there is an order under Section 435(1) of the principal Act amalgamating the lands in the first schedule hereto in all the owners in their respective shares calculated upon the capital value in ENS shown under the style of Rotoiti 14; such order, in terms of Section 435(7), to take effect as on and at 4th March 1970; such order to state upon its face that the land comprised therein as at and after 4th March 1970 is and shall be Maori freehold land. | 420 | -2- Haroharo 9 ors the schedule as appropriate only for amalgamation purposes inter beneficial owners since in them there is an overall common denominator, but that denominator, in the experience of this Court, does not represent the value of those lands for forestry purposes and dealings with third parties such as here contemplated. The lands are contiguous and are so located one to the other as to constitute a compact single area capable of being the more profitably exploited in the owners' interests. Some of the owners of the former Salons B2B5 wished to have excluded from the scheme some 10 acres of that land upon the premises that such had a marked potential for subdivision for their own personal domestic housing needs in the forceable future and not for alienation outside their own ranks. The land is zoned "rural" and it is unlikely to be re-zoned as "residential" for some years yet. However the Court in view of the special circumstances urged upon it is able to meet those owners request and that it has done on strict terms. Accordingly in respect of Waione B2B5 there are partition orders as follows: WAIONE B2B5A some ten acres 00 perches (not less) as per plan attached in all owners in their respective shares; WAIONE B2B5B balance area as per plan attached in all owners in their respective shares. There is also an order under Section 150 of the Rating Act 1967 appointing Er Kapua Hamutana in respect of Salons B2B5A. ALSO in respect of part Waione C4 there are partition orders as follows: WAIONE C4A some 127 acres 2 roods 05 perches being the western severance as per plan ML 14272 in all owners in their respective shares; WAIONE C4B of some 831 acres 0 roods 25 perches being the balance of the eastern severance as per plan ML 14272 in all owners in their respective shares. On 3 March 1970 the Commissioner of Crown Lands filed in Court a Notice of Intention to Appear on this application -neither "for nor against" - he expressed his claim for leave to be heard in the words following: "That the Crown is desirous of entering into negotiations with the owners of the land described in the schedule attached hereto, for public purposes as a Scenic Reserve, by acquisition of the fee simple." The schedule set out parts of six lands, aggregating 2670 acres. On 4th March 1970, after certain observations by the Court, an amended Notice was filed in the name of the Department of Lands Survey for H. M. the Queen in the words following: "1. That clause 3(1) of the proposed trust instrument prevents any negotiations for exchange of lands in the trust for Crown land;

I ask for the trust instrument to be amended to include provision for the Trustees to exchange land for the Crown land in schedule of 27th February 1970." Counsel appearing in support of the amended Notice, not having been instructed on the points, was unable to inform the Court what Crown lands might be available for exchange or even their locality. The Court sympathises with the dilemma in which he found himself - a dilemma which should never have presented itself, since this Court cannot believe other than that his principals at both Hamilton and at Wellington had knowledge or means of knowledge of the negotiations under way for some years past within the Maori owners' ranks; and the special facts that his principal at Hamilton at all material times was and still is the functional Head of both the Lake Rotoiti Scenic Reserve Board and the Lake Okataina Scenic Reserve Board. One thing is certain and that is that the unanimous will of the Maori owners will not be unduly delayed by last minute interest in long outstanding issues. However, there will be inserted in the Trust Order a term generally along the lines suggested by counsel for the Lands Department, but that term will be unequivocally limited in point of time - and time will be strictly of the essence. The way is open for the Department of Lands Survey to "keep pace. On several of the lands there are isolated stands of indigenous timber trees or the odd minable tree. It is meet that the trustee should be empowered to promptly sell them for removal. Accordingly provision is made to that end. As to subsection 6 of Section 435. There are apportionment and adjustment orders as follows: Charges/Mortgage given by Ngapoti Mamaku or Takuira over interests in former Waione C4 now over interests in Rotoiti 14 and Waione C4A; (ii) Charges/Mortgage given by John Pohio over interests in former Waione C4 now over interests in Rotoiti 14 and Waione C4A. The Court at this point of time makes no further orders under Section 435(6) though leave is reserved to: (a) Jarlov Bros - who hold of the Maori Trustee a timber cutting grant over former Okataina 8; (b) The Guardian Trust Executors Company Limited as trustees in Estate of Sam Emery the holder of a Fencing Charge of 525 over former Haumingi 13B; H. M. the Queen (Surveyor-General) the holder of compromised survey liens totalling 148 spread over fiftern of the former lands. | 544 | -7- Haroharo 9 ors (b) The beneficial owners shall from time to time as may be required and in the manner prescribed elect a person to fill any vacancy in the body of advisory trustees, whether arising by the increase in the number of the advisory trustees or by the death or resignation or the disqualification, removal, or retirement from office under the provisions of this order of an advisory trustee or otherwise however, and except as provided by Clause 4 (e) hereafter (relating to the re-election of a retiring advisory trustee) the responsible trustee shall apply to the Court for the appointment of the persons so elected. | 575 | ( c) -8- Haroharo 9 ors of the trust or by his being interested or concerned in any contract made by the responsible trustee PROVIDED that an Advisory Trustee shall not vote or TaTe place in the discussion on any matter that directly or indirectly affects his remuneration or the terms of his employment as a :servant or officer of the trust or that directly or indirectly affects any contract in which he may be interested or concerned. Without limiting the powers of the Court under Clause 3 (c) hereof and under Clause 4 (d) following no person shall be appointed or shall continue to hold office as an advisory trustee who is or becomes: (i) A person of unsound mind within the meaning of the Mental Health Act 1911; or (ii) A bankrupt who has not obtained his order of discharge or whose order of discharge is suspended for a term not yet expired or is subject to conditions not yet fulfilled; or (iii) A person convicted of an offence punishable by imprisonment for a term of 6 months or longer, unless he has served his sentence or otherwise suffered the penalty imposed upon him. The Court for sufficient cause may at any time on application or of its own motion upon the giving of such notice (if any) as it may deem fit remove from office any advisory trustee. The advisory trustees appointed by the Court on the 17th day of March 1970 shall retire as follows: (i) At the Annual General Meeting held in the second calendar year after a year in which the trust was constituted one-third of those advisory trustees shall retire; (ii) At the following Annual Genera] Meeting, an equal number of those advisory trustees shall retire; (iii) At the next following Annual General Meeting, the balance of those advisory trustees shall retire. Where the number of original advisory trustees is not three or a multiple of three, one-third of those advisory trustees shall for the purposes of Clause 5 (a) above be deemed to be one-third of the next highest number which is a multiple of three. (b) The responsible trustee shall at a date not later than eighteen months after the 17th day of March 1970, and subsequently at least in every calendar year submit to a General Meeting of beneficial owners the Profit and Loss Account made up to a date not earlier than a date of a meeting by more than 6 months, together with a Balance Sheet as at the date to which a Profit and Loss Account is made up. (c) A copy of the Balance Sheet, Profit and Loss Account and other documents shall be filed in the Court within 14 days after their submission as herein-before required to a General Meeting of the beneficial owners and shall during office hours be open to public inspection without payment of fee. (d) The responsible trustee shall cause each annual set of accounts to be audited by a person who shall be a Chartered Accountant of New Zealand or a Member Fellow or Associate of an Association of Accountants constituted in some part of the Commonwealth outside New Zealand and for the time being approved for the purposes of the audit of Company Accounts by the Minister of Justice by notice published in the "Gazette". (g) A person acting as proxy for more than one beneficial owner shall be entitled to vote separately for each person for whom he so acts. (h) No person shall be competent to act as a proxy for any beneficial owner at a meetin.; of the beneficial owners if that person is either an advisory trustee or has consented, before or at that meeting, to be nominated as an advisory trustee. (i) The Court may from tiem to time fix a quorum for a General Meeting of beneficial owners. Unless and until the quorum is so fixed, the quorum for any such meeting shall be twenty beneficial owners personally present thereat. (j) No General Meeting shall be deemed to be properly constituted unless at least twenty shareholders are present in person throughout the meeting. (k) Except as otherwise provided herein the responsible trustee or his representative shall be Chairman of every General Meeting of the beneficial owners and save as hereinbefore otherwise provided the Chairman may regulate the procedure of that meeting. 8. At the same time as the Partition Orders were made the Court also made road line order for the laying off of 3 roads as described in the order. subsequently the land was re-partitioned to provide for lend being given up to the Crown to pay for the partitions but no roads were construsted. 40 years or more later the Order was amended by the making of en entry "3 roods made accordingly. Amended pursuant to Section 60 Maori Affairs Act 1953". In 1919 the Lands and Survey Department became interested la purehasing the Tihoi Bloeks and meetings of owners were held at Sokol on 9-12-19 to oonsider sales to the Crown. All resolutions to sell were rejected unanimously by the owners because of the low pries; averaging loss than A2-00 an air. following this the Crown issued a proclamation prohibiting senors from selling to anyone except the Crown and further meeting wort called in August of 1921. At none of these meetings was a resolution to sell to the Crown carried. It appears that, se previously, apart from any other eonsideration, the prices were considered to be too low. We have not memos =own the Crown to deal in sash a manner with land owners and our Solicitor has observed that such a method of negotiation is quite outside his emperienee. One owner named Sae, although in poor financial ircumetancas. held on to hie interests and later sold the timber rights for approximately ?30-0,0 an acre. As repeat that the average pries paid by the Crown for land and timber was less than f1-0-0 per mfrs. A number of small blocks on the lake front were left in Neer/ ftwoupation. The Crown was not interested is these presumably because they were not considered suitable for farming. These blocks are Te Tihoi No 1, No 334, No 326 and NO 387. These blocks were completely without access and for that reason could not readily be made 'mono-producing. It is clear that if these lakeside blocks were offered for sale they would bring extremely high prices. During the 50's the non-seller owners of the Tibet nook asked Pei Jones to act cm their behalf to looser their Titles and following this Mr Jones, at the request of the Court, agreed to arrange for the interests or the ?mere to be exchanged for Crown land end it to be located in one block. In fact the nee-sellers were located in two blocks in Kawakami Bey namely Tibet A containing 1600 acres and Tibet 3118 112A1 containing 1052 acres and 3 roods. The latter block has a frontage to the lake. The exchange was confirmed by tbs Court in 1956 and it was a condition that the Crown construct an access rood stalled to the northern boundary of Tibet A bloat and formed for a further mile towards the lake. Following the exchanges Pei Jones sorrespoaded with the Maori Affairs Department for the purpose of having the road completed in accordance with the Court's order but although a let of letters wore exchanged and promises given the road baa net been constructed. me understand there is still soma uncertainty as to the most desirable location. DariAg the past 15 or 20 years Poi Jones and others have attempted to obtain the assistance of the Maori Affairs Department and the Maori Land Court to develop and utilise the land in Lawakays Say in order that it might produce an income fur the owners, for example in 1951 PO/ Janes, acting on behalf of his then wife and her daughter, made application to have Tibor 384 vested in the Walariki District Mori Land Board for the benefit settlement and welfare of the owners. In 1964 application was made to the Court for a partition of the same block and a meeting was held but nothing farther was dons. A farther meeting was held the following year to consider s resolution to vest Tibet 384 in the Maori astes under Seotien 436 of the Maori Affairs Aot 1953 for subdivision and develops, of the land and the resolution sus sonsidered by the Court and and referred to the Maori Trustee but It Maori Trustee does not appear to have accepted the trust. alum Mr Ferguson appeared at the Maori Land Court at Taupe in April last to oppose certain applications made by the Taupo County in respect of Tibet 384 and other blocks Judge Seott chided the owners for having done nothing to leprous their position. Mr Ferguson said he had no instructions about this and could not reply but we thought the charge was a moot unfair one. es feel strongly that the Crown has let the owners down. In the first place the Crow has acquired most of the land in the Tibet blocks at an under-value using a very shabby lathed of approach. we feel bitter about this but we acknowledge that it is now part and parcel of the buried past useful as a reminder of what to avoid in the future. Be add that in 1949 Pei Jones consulted Mr Jack of Donganui with a view to taking action against the Crown in respect of the purchases between 1920 and 1930. lefors matters had proeeeded very far kr Jack advised Psi Jones to proceed by petition as the cost of Court proceedings against the Crown could ultimately become ruinous to thee. Accordingly petition woo submitted to Parliament and a decision made to refer to the Government for enquiry. Although you have compered the 1946 values with these at the time of the last purchases in 1i29, to be quite fair I think the co,parison should be made with the time when the bulk of the interests were purchased; that is, between the years 1921-1923 ,hen 8; of the shares in the timber blocks were acquired. The only real guide to values of bush areae at that time is the sale price of land in the sass locality. In this case there are figures available in respect of a neighbouring block, Tihoi 3B8A, containing 2610 acres of bush and 1549 acres of open country. This was purchased from the Maori owners in 1919 for ?1050, a special valuation at the time showing a capital value of Z1046, or approximately 5/- per acre. In the same year the purchaser, Ferens, transferred the land to one Wells for 21100 and in 1935 Wells sold to W. Burgess for Z174.11 - a little over 8/- per acre. The price paid by the Crown of ?1 per acre for bush lands and 6/- per acre for open lands compares more than favourably with the prices paid by private purchasers in that case. From a perusal of the records it appears that the Lands Department made a conscientious effort to arrive et a fair valuation before negotiating for the purchase. The Government valuation was 5/- per acre and in 1920 the Valuer-General advised that there had been no substantial increase in value since the date of that valuation, namely 1916. A special valuation, however, had been made earlier and showed the bush areas at 10/- to 15/- per acre and the open land at 5/- per acre. The Lands Department then arranged for one of its field officers to inspect the land and he considered that the bush country was worth Z1 per acre and the open country 6/- per acre. As you know, that was the price finally paid for the shares purchased by the 0 sun. As en indication of the low value placed on bush country at the time, I am informed that bush-clad areas in the King Country were sold by the Crown in 1921 at prices

It is probably not an over?statement to say that in the twenties the Tihoi bush was almost worthless as a commercial proposition and I do not think that 1946 values can be said to give any indication at all of the actual values at the time of the purchases. Not only has there been an increased demand for timber in the past 15 years, but the cutting out of easily accessible bush has led to a tremendous increase in the value of areas previously considered too remote to be economically worked. Such a great increase could hardly have been foreseen in the twenties and it hes been established that there can be no claim for compensation in respect of en unforeseeable increase in the value of land subsequent to a purchase.
